Terms of Service

These Terms of Service (“Terms”) govern your use of the Regeneris CRM platform, the public website at regeneristherapy.com, and the messaging integrations with Facebook Messenger and Instagram Direct operated by Regeneris Therapy S.A. de C.V.

01Acceptance of Terms

By accessing or using the Regeneris CRM (the “Service”), our public website, or initiating a conversation with our Facebook Page or Instagram Business account, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service. These Terms constitute a legally binding agreement between you and Regeneris Therapy S.A. de C.V.

02Description of Service

Regeneris CRM is an internal platform for clinic operations. Authorised clinical and administrative staff use the Service to manage inbound and outbound communications with current and prospective patients across multiple channels, including Facebook Messenger and Instagram Direct, to schedule appointments, maintain the clinical record where applicable, and coordinate day-to-day operations of the clinic.

The public website at regeneristherapy.com is an informational platform that describes our clinic, our team and the therapies we offer. No medical service is delivered through the website or through messaging channels — any actual diagnosis, treatment, procedure, or prescription takes place exclusively in person at our clinic following a medical evaluation by a licensed physician.

03User Accounts (staff only)

The Regeneris CRM is a private, role-based system. Patients do not register or sign up directly. Accounts are provisioned only for authorised Regeneris Therapy staff and contractors who have signed a confidentiality agreement and completed onboarding. Each account is personal, non-transferable, and tied to an employment or contractor relationship with Regeneris.

If you hold a staff account you agree to:

• Keep your credentials confidential and use multi-factor authentication when available.
• Not share your account with any other person, including other Regeneris staff.
• Notify the Service's administrator immediately of any unauthorised access or suspected compromise.
• Use the Service only for tasks within your assigned role and only on the data necessary for those tasks (principle of least privilege).
• Surrender access promptly when your role with Regeneris ends, and not retain copies of patient data afterwards.

04Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable Mexican, U.S., or international law, including the LFPDPPP, NOM-024-SSA3-2012, and Meta's Platform Terms and Developer Policies.
• Attempt to gain unauthorised access to the Service, its underlying infrastructure, or any related systems or networks; bypass authentication or rate limits; or probe for vulnerabilities without explicit written authorisation.
• Upload, transmit, or distribute viruses, worms, trojan horses, or any other malicious code or content.
• Interfere with or disrupt the integrity or performance of the Service, including by sending automated, abusive, or high-volume traffic outside legitimate use.
• Export, copy, or otherwise extract patient data in bulk except as expressly permitted by your role.
• Use any data ingested via Meta APIs for advertising targeting, building user profiles for marketing, training AI models, or any purpose prohibited by the Meta Platform Terms.
• Impersonate any person or misrepresent your affiliation with Regeneris or with any patient.
• Send unsolicited promotional messages from the CRM, or contact opted-out users (those who replied STOP / BAJA / NO MÁS / PARAR).

05Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, share, retain, and protect personal data, including data ingested from Meta APIs. By using the Service you acknowledge that you have read and understood the Privacy Policy.

Patient data subjects retain ARCO rights (Access, Rectification, Cancellation, Opposition) under the LFPDPPP and may exercise them via the public ARCO form at /legal/arco or by emailing contact@regeneristherapy.com.

06Intellectual Property

The Service, including its source code, design, text, graphics, logos, “Regeneris Therapy” and related brand names, layouts, and all other content (other than patient-supplied content), is the property of Regeneris Therapy S.A. de C.V. or is used with authorisation from its respective owners. It is protected by Mexican and international intellectual property laws.

No licence is granted to you under these Terms except the limited, non-exclusive, non-transferable right to access and use the Service strictly for its intended purpose. You may not copy, reproduce, distribute, modify, reverse engineer, or commercially exploit any portion of the Service without our prior written consent.

Patient-supplied content (messages, photos, attachments) remains the property of the patient. Patients grant Regeneris a limited licence to store and process that content solely for the purposes described in the Privacy Policy.

07Medical Disclaimer

The Regeneris CRM is software for clinic operations. It is not a medical device. The Service does not provide medical advice, diagnosis, or treatment, and is not intended to replace the professional judgement of a licensed physician. Any information stored, processed, or displayed by the Service — including triage notes, message classifications, response templates, or scheduling data — is for clinic operational use only and must be reviewed by qualified clinical staff before any medical decision is made.

No clinical service is delivered through the Service or through messaging channels. Any actual diagnosis, treatment, procedure, or prescription takes place exclusively in person at our clinic, after a thorough medical evaluation by a licensed physician who issues the corresponding clinical records under NOM-004-SSA3-2012.

Results of any regenerative therapy described or discussed on the public website or via messaging channels vary from patient to patient. No specific clinical result is guaranteed. The content of our public website is for informational purposes only and is not a recommendation for any particular treatment.

08Limitation of Liability

To the maximum extent permitted by Mexican law, Regeneris Therapy S.A. de C.V., its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of, or inability to use, the Service or any content delivered through it, even if Regeneris has been advised of the possibility of such damages.

The Service is provided on an “as is” and “as available” basis. Regeneris does not guarantee uninterrupted operation, error-free performance, or compatibility with all devices or third-party services (including Meta APIs). Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law.

09Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we determine in our reasonable judgement that you have breached these Terms, violated any applicable law, or engaged in conduct that exposes Regeneris, its patients, or its data processors to risk.

Staff accounts terminate automatically upon the end of the employment or contractor relationship with Regeneris. Patient data subjects may withdraw consent and request deletion at any time via the ARCO process described in the Privacy Policy, subject to the legal retention obligations explained there.

Sections 6 (Intellectual Property), 7 (Medical Disclaimer), 8 (Limitation of Liability), 10 (Governing Law), and any other provisions which by their nature should survive, survive termination of these Terms.

10Governing Law and Jurisdiction

These Terms are governed by the laws of the United Mexican States, with particular reference to the laws applicable in the State of Quintana Roo. Any controversy arising from or in connection with these Terms or the use of the Service will be submitted to the competent courts of Cancún, Quintana Roo, México, and you waive any other jurisdiction that may correspond to you by reason of your present or future domicile.

11Changes to Terms

We may modify these Terms at any time to reflect changes in the Service, in applicable law, or in our operating practices. The most recent version will always be available at this URL with the “Last updated” date at the top of the page. Material changes will be notified to staff account holders by email. Continued use of the Service after changes constitutes your acceptance of the updated Terms.
